Labcorp agreed to buy a group of laboratory testing businesses from BioReference Health for $722 million upfront, with up to $150 million more tied to revenue from the 4Kscore prostate test. The deal was announced October 15. BioReference is a subsidiary of Opko Health.
The assets cover clinical and women's health testing, urology, diagnostic services for correctional institutions, more than 80 patient service centers and the FDA-approved 4Kscore blood test. Labcorp expects roughly $250 million of revenue in the first year after closing, and the final price adjusts on closing revenues. The deal needs regulatory clearance, and the two businesses run separately until it closes.
The earnout is the line to read twice. Labcorp hung $150 million of the price on one assay's revenue, which is how a buyer pays for a single reimbursed test it has not yet pushed through its own ordering network.
