The Federal Trade Commission issued second requests on October 15 over MiMedx's $350 million purchase of Sanara MedTech. Sanara disclosed it in an 8-K filed October 16 and said it is cooperating. The Hart-Scott-Rodino waiting period now runs until 30 days after substantial compliance.

MiMedx agreed in July to pay $33.00 in cash plus 0.4735 MiMedx shares for each Sanara share, about $35 a share and a 46 percent premium to Sanara's 30-day volume-weighted average price. MiMedx is funding the cash with a new $300 million term loan from Hayfin Capital Management plus cash on hand. The companies had guided to a close by the end of 2026, subject to a Sanara shareholder vote.

Both sell into surgical wound and soft tissue repair, which is the overlap the agency will be mapping. Sanara sells CellerateRX Surgical Powder and BIASURGE, and holds an FDA Breakthrough designation on OsStic BioAdhesive with a 2027 launch planned. A second request does not kill a deal, but it adds months and it signals the staff found a share question worth documenting. For a founder watching exit routes in regenerative surgical products, that is the useful read.
