Rockwell Medical agreed to buy the majority of Vantive's hemodialysis business, the two companies said November 3. Terms were not disclosed. The deal is expected to close in mid-2027, subject to regulatory approvals and customary closing conditions.
The assets cover hemodialysis concentrates, hemodialysis monitors, water treatment systems, related consumables and technical services. Vantive's manufacturing plant in Medolla, Italy transfers to Rockwell at closing. Vantive keeps its dialyzer portfolio, including the Theranova dialyzer used for HDx therapy.
Vantive said the sale narrows it to home dialysis and critical care, including an expanded ICU kidney platform with continuous renal replacement therapy. Rockwell, which describes itself as focused on hemodialysis alone, said it expects to invest more in the combined business. Perella Weinberg Partners and Barclays advised Vantive, and Aquilo Partners advised Rockwell.
No price and a mid-2027 close point to a carve-out with real operational separation left to do, a plant handover included. Suppliers to either company should treat the Medolla transfer as the date that matters.
