EQT Private Equity will pay 46.50 euros a share in cash for Qiagen. That values the diagnostics company at 10.8 billion euros, about $12.1 billion, including roughly $1.1 billion of debt. Qiagen's supervisory and managing boards recommended the voluntary public takeover offer on October 21.

The price sits about 40 percent above the 33.15 euro close on July 8, the last session before takeover interest was reported. William Blair put the offer at roughly 15 times its 2027 EBITDA estimate, below what life sciences deals usually fetch. Thermo Fisher tried to buy Qiagen about six years ago and lost the vote when shareholders called the price too low.

Closing is expected in mid-2027, subject to shareholder acceptance and regulatory clearance. EQT committed to the existing strategy, brands, operational footprint and R&D, and the company keeps the Qiagen name. Jonathan Pratt took over as CEO less than two months before the agreement.

For anyone sourcing sample prep or assay chemistry from Qiagen, a sponsor with a 2027 close and a long hold period is a different counterparty than a quarterly reporter. Supply agreements signed now will outlast the transaction.
